All wealth management products are liquid and the subscription is used by the company for wealth management to maximize its surplus cash return from the business operations and the net proceeds from the global offering contained in the prospectus dated 16 December 2020. The Group expects that wealth management products will earn better yields than the current time deposit rates generally offered by commercial banks in China and Hong Kong, and provide the Group with flexibility in terms of wealth management. Therefore, the directors (including the independent non-executive directors) consider that the respective terms of the relevant wealth management products are fair and reasonable and are on normal commercial terms and that each subscription is in the interests of the company and shareholders as a whole. The Group implements adequate and appropriate internal control measures to ensure that the subscription will not affect the working capital or operations of the Group and that the investment will be based on the principle of protecting the interests of the Group and shareholders as a whole.
